CALL TO ORDER ANNUAL MEETING OF THE MEMBERS by Mary Spaay, 7:06 p.m.

* TREASURER'S by B. Woodburn: Receipts total $53,052.00. Disbursements total $933.00. Liabilities toal $6315.00. Balance as of 10/15/00 total $45,804.00. ($4000 grant monies not included.)

Balance invested in investment checking account at 5.05% interest.

ELECTION OF BOARD OF DIRECTORS:

* The Nominating Committee presents the following ballot for Board of Directors:

Three-year term: B. Geimer, D. Hughes, B. Woodburn

Two-year term: V. Anderson, P. Hitchcock, M. Spaay

One-year term: J. Koeppl, Molly Murray, Steve O'Neill

* Call for nominations from the floor by M. Spaay

MOTION by B. Woodburn/L. Fuellman to close nominations. Motion carried unanimously.

* Call for vote on the ballot for Board of Directors as submitted by the nominating committee

Motion carried: Eighteen (18) in favor. Zero (0) opposed by show of hands of members, 8:40 p.m.

MOTION by N. Woodburn/M. Murray to adjourn. Motion carried unanimously. 8:42 p.m.

II. DRAFT MINUTES -ANNUAL MEETING - BOARD OF DIRECTORS - FRIENDS OF DONALD PARK, INC., OCTOBER 17, 2000.

ATTENDEES: DIRECTORS: PAT HITCHCOCK, DAVE HUGHES, MARY SPAAY, BOB WOODBURN, JUDY KOEPPL, STEVE O'NEILL, MOLLY MURRAY AND VICKI ANDERSON

ACTING PRESIDENT: MARY SPAAY , ACTING SECRETARY: VICKI ANDERSON

CALL TO ORDER BUSINESS MEETING OF THE BOARD OF DIRECTORS by Mary Spaay, 9:06 p.m.

MOTION by Koeppl/Murray to approve the minutes of 9/19/00. Motion carried unanimously.

MOTION by Woodburn/Hitchcock to authorize payment of the lawyer's bill for the sum of $6315.00 for the incorporation of FoDP, Inc., from Delma's fund and to submit the receipt to Dane County Parks Dept. for reimbursement from the grant monies. Motion carried unanimously, 9:00 p.m.

MOTION by Spaay/Murray to authorize payment of bill submitted by V. Anderson for sum of $150.45 for Sept. and October postage and printing costs. Motion carried unanimously.

MOTION by Koeppl/Woodburn to increase the number of Directors to ten (10), the tenth Director shall serve a one (1) year term, pursuant to Article II, Sec. 2 of the Bylaws. Motion carried unanimously, 9:07 p.m.

MOTION by Murray/O'Neill to appoint Doug Haag to serve as the tenth Director for a one (1) year term. Motion carried unanimously, 9:08 p.m.

MOTION by Anderson/Hitchcock to nominate the following slate of officers: M. Murray - President, P. Hitchcock - Vice-President, B. Woodburn - Treasurer, and V. Anderson - Secretary. Motion carried unanimously 9:12 p.m.

VOLUNTEERS NEEDED for specific tasks: Roadway - C. Anderson, Landscaping - M. Murray, Fencing - B.Woodburn & D. Hughes, Archeological Research - H. Bunn, Signage, Facilities, Outhouse, Operations, and Activities.

ANNOUNCEMENTS:

* Upper Sugar River Watershed Association meetings - Thursday nights - Oct. 19, Nov. 16, and Dec. 14. Need volunteers to help construct lunkers for trout stream. Contact Marcia Hartwig, #224-3730.

* Donors Forum Workshop - Nov. 17, 8:30 - 11 a.m. in Milwaukee. Contact Louise Goldstein, #246-5366, for info and carpool.

* Transfer of funds from Friends of Dane County Parks completed. $50,000 in donation and $976.82 in interest.

NOVEMBER BOARD MEETING: 11/21/00, 7:00 p.m., Springdale Town Hall. Please be prepared to discuss: calendar of events and priorities for 2001, quotes for liability insurance for Board of Directors, non-profit mailing permit, agreement between Dane County Parks and FoDP, Inc., picnic area development timetable, proposal by Mt. Horeb High School cross-country team meet in Park, snowmobile trail, and investment account. Please remember to submit all bills to be paid by the FoDP, Inc.
